1. Acceptance of Terms

By accessing and using Ftens (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these terms, you must not use our service.

These Terms constitute a legally binding agreement between you ("User", "Customer") and Ftens ("we", "our", "Company") regarding the use of the photo gallery management platform.

2. Description of the Service

2.1 Services Offered

Ftens is a SaaS platform that provides:

• Creation and management of online photo galleries
• Sale of digital photos to end clients via paid galleries and Stripe Connect checkout (plan permitting)
• Secure cloud image storage
• Organization tools for projects and galleries
• Public and private galleries with access control
• Automatic image processing
• Professional dashboard with statistics
• Custom URLs for sharing galleries
• Image download system

2.2 Service Availability

We strive to keep the service available 24/7, but we do not guarantee uninterrupted availability. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

3. Registration and User Accounts

3.1 Eligibility

You must be at least 18 years old to use this service. By registering, you confirm that you have the legal capacity to enter into this agreement.

3.2 Registration Information

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your password
• You must immediately notify us of any unauthorized use of your account
• One person or entity may only have one active account

3.3 Account Responsibility

You are fully responsible for all activities that occur under your account, including actions by authorized users or subcontractors you manage.

4. Acceptable Use

4.1 Permitted Uses

You may use Ftens to:

• Manage professional photo galleries
• Share photographs with clients and collaborators
• Organize photography projects
• Create online portfolios
• Distribute visual content for legitimate commercial purposes

4.2 Prohibited Uses

You may not use Ftens to:

• Upload illegal, harmful, threatening, abusive, or obscene content
• Violate copyright, trademarks, or other intellectual property rights
• Distribute spam, malware, or malicious content
• Engage in fraudulent or deceptive activities
• Interfere with the security or functionality of the service
• Use the service to store content other than photographic images
• Resell or redistribute the service without authorization
• Reverse engineer or attempt to access the source code

4.3 Inappropriate Content

We reserve the right to remove content we deem inappropriate, including but not limited to:

• Images with explicit sexual content
• Content that promotes violence or discrimination
• Copyright-protected material without authorization
• Sensitive personal information of third parties without consent

5. Intellectual Property and Content

5.1 Your Content

You retain all ownership rights to the images and content you upload to Ftens. We do not claim ownership of your content.

5.2 License to Operate the Service

By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to store, process, display, and distribute your content only to the extent necessary to provide the service, including:

• Storing your images
• Generating thumbnails and optimized versions
• Applying watermarks when enabled
• Displaying your images in the galleries you configure
• Allowing downloads according to your settings

5.3 Ftens Ownership

Ftens and all its components (software, design, code, text, graphics) are the property of Ftens and are protected by intellectual property laws.

5.4 Watermarks

Images processed through our service may include Ftens watermarks. This is a service feature and does not imply a transfer of rights over your content.

6. Plans and Payments

6.1 Subscription Plans

We offer different subscription plans with varying features and limits. Details for each plan are available on our pricing page.

6.2 Billing

• Payments are processed securely through Stripe
• Billing is recurring according to the selected plan (monthly/annual)
• Prices may change with 30 days' prior notice
• We do not offer refunds for partial service periods
• Non-payment will result in service suspension

6.3 Usage Limits

Each plan has specific limits on storage, number of galleries, projects, and data transfer. Exceeding these limits may result in service suspension or additional charges.

6.4 Cancellation

You may cancel your subscription at any time from your dashboard. Cancellation will take effect at the end of the current billing period.

7. Privacy and Security

7.1 Public Galleries

Galleries marked as "public" are accessible to anyone who has the link. You are responsible for managing the privacy of your galleries.

7.2 Private Galleries

Private galleries are password-protected and are only accessible to users who know the password. You are responsible for securely managing these passwords.

7.3 Data Security

We implement industry-standard security measures, but we cannot guarantee absolute security. See our Privacy Policy for more details.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE MAKE NO EXPRESS OR IMPLIED WARRANTIES OF ANY KIND.

8.2 Limitation of Damages

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE.

8.3 Maximum Limit

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

8.4 Data Loss

Although we implement regular backups, we recommend maintaining local copies of your images. We are not responsible for data loss.

9. Suspension and Termination

9.1 Suspension for Breach

We may suspend or terminate your account immediately if:

• You violate these Terms and Conditions
• You fail to make required payments
• You use the service in a way that may damage our infrastructure
• You engage in fraudulent or illegal activities

9.2 Termination by User

You may terminate your account at any time by deleting it from your dashboard. Termination will take effect immediately.

9.3 Effects of Termination

Upon account termination:

• You will lose immediate access to the service
• Your data will be deleted in accordance with our Privacy Policy
• Public galleries will no longer be available
• There are no refunds for prepaid services

10. Service Modifications

10.1 Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without prior notice.

10.2 Terms Updates

We may update these Terms from time to time. Significant changes will be notified by email or through a notice on the platform.

11. General Provisions

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws in the jurisdiction where Ftens operates.

11.2 Dispute Resolution

Disputes shall preferably be resolved through direct negotiation. If that is not possible, they shall proceed according to applicable legal mechanisms.

11.3 Severability

If any provision of these Terms is deemed invalid, the remainder shall remain in full force and effect.

11.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between the parties.

12. Photo sales in galleries (photographers)

If you enable paid mode on a gallery:

• You are the seller to your clients; Ftens provides technology, payment collection, and download access.
• You must maintain an operational Stripe Connect account and comply with Stripe policies.
• You are responsible for copyright, likeness/personality rights, pricing, packs, and handling buyer claims.
• Refund policy for buyers is set out in the Photo purchase terms: generally no refunds except for your delivery errors or duly evidenced extraordinary cases.
• Ftens may charge a platform fee on each sale, as shown in your dashboard before you publish prices.
• Do not use sales for unlawful or unlicensed content; we may suspend galleries or accounts for serious breaches.
• Buyers must accept the photo purchase terms before paying; by enabling sales you agree they are displayed on your gallery.
